Netscape Closes AtWeb Inc. Acquisition

Offers Powerful Web Site Management Tools, Expands Netcenter Audience With More Than 800,000 New Web Site Members
MOUNTAIN VIEW, Calif., (January 6, 1999) - Netscape Communications Corporation (NASDAQ: NSCP) today announced that it closed the Netscape acquisition of AtWeb Inc., a leading online services company. Netscape issued 3.36 million shares of Netscape stock to purchase 100 percent of AtWeb stock and options. The company has accounted for this transaction as a pooling of interests. Founded in 1996, Sunnyvale-based AtWeb is a privately held company. Netscape plans to maintain AtWeb as its wholly owned subsidiary, with AtWeb reporting into the Netscape Netcenter division.
With AtWeb, Netscape's Netcenter portal site now offers a suite of premier online products and services that businesses can use to manage web site promotion, maintenance and membership services. This acquisition enables Netscape to deliver new Netcenter services to an expanded network of millions of web sites and consumers, reinforcing Netscape's position as a leading provider of Internet tools and services that empower businesses to take charge of their Internet experience.
