INTRAWARE AND NETSCAPE ANNOUNCE COMPREHENSIVE SOFTWARE MANAGEMENT PROGRAM

INTRAWARE LAUNCHES 'COME CLEAN' CAMPAIGN AND SUBSCRIBNET SERVICE TO PROMOTE CORPORATE LICENSING OF NETSCAPE SOFTWARE

ORINDA, CALIF. (October 15, 1997) Intraware and Netscape Communications Corporation (NASDAQ: NSCP) today announced a comprehensive software management program that makes it easy for corporations to license Netscape software from Intraware. The program includes Intraware's new "Come Clean" Campaign designed to educate IT professionals about the correct way to license Netscape software. Participating customers will be provided with a set of online tools to make it easy to keep Netscape software licenses up-to-date using Intraware's electronic upgrade notification and delivery service called SubscribNet.

Backed by the Software Publishers Association (SPA), Intraware's national "Come Clean" Campaign has been created to bring attention to the heightened incidence of lapsed software licensing, evaluation expiration and unlicensed use of business applications among companies and corporations nationwide. The "Come Clean" Campaign will also educate businesses on how to quickly, simply, confidentially and cost effectively license Netscape software. The "Come Clean" Campaign will run from October 15 through December 15, 1997.

"Our pioneering concept of 'try before you buy' software on the Internet helped catapult Netscape into the limelight and quickly garnered marketshare for Netscape Navigator," said Mike Homer, executive vice president of sales and marketing at Netscape. "Now we are working with Intraware to make it easy for corporate customers to update their licenses for Netscape software right from their desktops using Intraware's SubscribNet online software delivery service."

"The majority of IT managers and CFOs that oversee software licensing have good intentions of staying in compliance, but lack the time and tools to stay on top of the fast-growing, widespread use of their intranets," said Peter Jackson, president and chief executive officer of Intraware. "The whole aim of the 'Come Clean' Campaign is to give these individuals an opportunity to do the right thing and do it quickly and headache free with economic incentives."

According to Jackson, part of Intraware's "Come Clean" awareness campaign includes a nationwide tour in which an Intraware spokesperson will make television appearances and grant radio interviews to build awareness concerning Internet ethics and the impact of software piracy on the economy. Additional promotional activities are also in the works, including giving gifts to businesses that become compliant during the two-month promotion. The toll-free number to "Come Clean" is 1-888-4-INTRAWARE (1-888-446-8729). Customers can also come clean through Intraware's self-service web site at http://www.intraware.com/comeclean/.

A recent study conducted by the SPA underscores the necessity to call for compliance as the severity of software piracy continues to grow both domestically and internationally. An estimated $11.2 billion in software was pirated in 1996. Of that amount, $2.3 billion represents pirated business applications in the United States alone.

"For nearly a decade SPA has sought to educate the public on the legal use of software," said Ken Wasch, SPA president. "Last year we launched the SPA Internet Anti-Piracy Campaign to address the problems unique to the online environment, and we are pleased that Intraware will bolster these efforts through the 'Come Clean' Campaign. While the Internet serves us all as a powerful resource, it also provides users with an unprecedented ability to transfer and download unlicensed software. Widespread compliance will only occur when the consequences of software piracy, to software publishers and software pirates, are known to users throughout the nation and the world."
